New OTCQX Indexes for Investors
A Message from our CEO


This month, OTC Markets Group launched three new indexes for tracking the performance of U.S. and global securities on our OTCQX marketplace: the OTCQX Composite Index (.OTCQX, ISIN:DE000SLA0TC9), OTCQX U.S. Index (.OTCQXUS, ISIN:DE000SLA0TE5) and OTCQX International Index (.OTCQXINT, ISIN:DE000SLA0TD7). The OTCQX indexes complement the existing OTCM QX ADR 30 (.OTCQX30), powered by BNY Mellon IndicesSM, and highlight for investors the wide variety of established, global and growth companies traded on the OTCQX marketplace. In the coming months, we plan to launch additional indexes for tracking OTCQX banks and OTCQB venture companies, further expanding our index offerings.

We have created OTCQX index products to help generate more global exposure for OTCQX securities among a wider group of investors. The easier our markets are to track, the more they will be traded!

The successful rollout of OTCQX for Banks and the changes to our OTCQB venture marketplace are creating opportunities for greater transparency with dedicated indexes. We are continually seeking out ways to bring greater information to investors in OTCQX, OTCQB and OTC Pink securities and to distinguish high-quality, shareholder-friendly companies in our markets.

As we round out a year of accomplishments, I want to thank our community of broker-dealers, companies, advisors, data distributors, regulators and investors for your continued feedback and support. This month, we speak with Jerry O’Callaghan, Director of Investor Relations of JBS S.A. (OTCQX: JBSAY), a Brazil-based company with a 60-year history in the global meat processing market. With a presence in more than 20 countries, the company, which is the world’s largest meat processor, has been expanding its operations in the North American market. JBS was one of the first Brazilian companies to join OTCQX, trading on the marketplace since May 2009.

OTC Markets Group (OTCM): JBS S.A. has an extraordinary history growing from a small butcher shop in Brazil to become the world’s largest meat processor with more than 300 production facilities, over 185,000 employees in 22 countries on five continents. What is JBS’s ambition in the global meat processing market?

Jerry O’Callaghan: Our ambition is to be a leading player in producing healthy meats in the most cost competitive geographies in the world such as in South and North America and in Australia and to conveniently package and deliver the resulting products to as many consumers as possible around the world through our network of sales offices and distribution centers.

OTCM: What are JBS’s competitive advantages when it comes to the global meatpacking industry?

Mr. O’Callaghan: We are experienced and hands on when it comes to meat production. JBS is more than 60 years old and we’ve handed down from one generation to the next a strong culture of team building and focus upon detail resulting in a commitment and team spirit which is essential towards the success of a business that is people intensive and where the team culture is extremely important.

OTCM: JBS has been expanding its American operations in recent years. Tell us more about that and about the opportunity in the U.S. and North American market.

Mr. O’Callaghan: When the industry went through a difficult period in the latter half of the last decade in North America, we saw that as an opportunity to invest in assets there using Brazil, which was in growth mode with a highly valued currency, as a platform. We always felt that growth would return to North America and since we are in this business for the long haul, we were happy to secure a relevant presence and wait. Time is proving that our strategy was right. The U.S. economy is showing signs of robust growth and the demand for the products we produce is increasing correspondingly. Besides the U.S., we also have a relevant presence in Canada (in the beef sector) and in Mexico (in the poultry sector) and these markets are also showing signs of solid growth.

OTCM: JBS upgraded its ADRs to the OTCQX marketplace on May 15, 2009. How has being traded on OTCQX help advance your investor relations strategy in the U.S. and service your U.S. shareholders and employees?

Mr. O’Callaghan: Since we are a global company with assets in many parts of the world and with a truly global customer base, we felt it was important to provide a platform for the U.S. and global investor, retail or fund, to hold shares in the company. OTCQX has provided this channel in a very efficient manner and we are pleased to be one of the pioneers out of Brazil to be associated with OTCQX. Our U.S. team members had felt left out in relation to our Brazilian team when it came to buying shares in the company. OTCQX provided the platform and many of our U.S. team members hold shares today as a result.

OTCM: What else do you want U.S. investors to know about JBS S.A.?

Mr. O’Callaghan: Being listed in Brazil has limited our visibility in the U.S. equity market. We are a robust company with a strong and balanced meat production platform in a global environment of strong demand growth, and we also produce a broad portfolio of branded, convenient and healthy meat based products. It is difficult for the Brazilian investor to grasp the broadness of our business, and we may pass under the radar of many U.S. funds and investors. The result is that we probably are not trading at our true value, and we would like the U.S. investor to get to know us better and have the opportunity of investing in a growth business with a very bright future.

REGULATION & COMPLIANCE
SEC Adopts New Regulation SCI
  On November 19, 2014, the SEC approved Regulation Systems Compliance and Integrity (“Reg SCI”). New rule Reg SCI was published in the Federal Register on December 5, 2014 and the rule will be effective on February 3, 2015 with a compliance date of November 3, 2015. As a critical part of our nation’s financial markets, OTC Link® ATS will be an SCI entity. Additional information may be found here. The final rule and form can be found here.

Comments Requested for Proposed Change to OATS Rules
  FINRA is requesting comment on proposed amendments to the OATS rules that would require member firms to report additional information to OATS. Specifically, FINRA is proposing to amend the OATS rules to require members to identify non-member broker-dealers when reporting orders received from such entities. FINRA Regulatory Notice 14-51 can be found here.

Proposed Rule Change for Quotation Requirements for Unlisted Equity Securities
  The SEC issued an Order Instituting Proceeding to Determine Whether to Approve or Disapprove a Proposed Rule Change relating to Quotation Requirements for Unlisted Equity Securities and Deletion of the Rules related to the OTC Bulletin Board Service. Proposal to Amend Fees for the OTC Reporting Facility (“ORF”)
  FINRA is proposing to amend Rule 7710 relating to fees for the OTC Reporting Facility (“ORF”) and delete Rule 7740 (Historical Research and Administrative Reports) upon migration of the ORF to FINRA’s Multi-Product Platform.
