Item 8.01 Other Events.

Stock Repurchase Program

On September 11, 2019, the Board of Directors of the Ligand Pharmaceuticals Incorporated (“Ligand” or the “Company”) approved a stock repurchase program authorizing, but not obligating, the repurchase of up to $500 million of the Company’s common stock from time to time over the next three years. The Company expects to acquire shares primarily through open-market transactions and may enter into a Rule 10b5-1 trading plan to facilitate open-market repurchases. The timing and amount of repurchase transactions will be determined by the Company’s management based on its evaluation of market conditions, share price, legal requirements and other factors.

The Company’s prior $350 million stock repurchase program was terminated in connection with the approval of the new stock repurchase program. As of September 11, 2019, the Company had acquired 2,968,124 shares of common stock for a total of approximately $350 million under the prior stock repurchase program.
