ITEM 2. DISPOSITION OF ASSETS.

On October 7, 2003, Temtex Industries, Inc. (the "Company") sold substantially all of the Company's assets, including the assets of its subsidiaries, to CFM Corporation for an aggregate purchase price (the "Purchase Price") of Seven Million Dollars ($7,000,000) in cash. This transaction was consummated pursuant to an Asset Purchase Agreement, dated as of September 22, 2003, and approved by the United States Bankruptcy Court, Central Division of California, Riverside Division (the "Bankruptcy Court") on October 7, 2003.

As ordered by the Bankruptcy Court, certain portions of the Purchase Price were paid by CFM Corporation directly to the secured creditors of the Company and an additional portion of the Purchase Price was reserved to satisfy certain priority and contingent claims. The Company believes that the remaining portion of the Purchase Price will be insufficient to fully satisfy its outstanding unsecured creditor claims, and, as such, the Company believes that its outstanding stock is without value.
