The Annual Report on Form 10-K for the fiscal year ended December 31, 2001 could not be filed within the prescribed time period. The Company has limited resources due to its poor financial condition. Henceforth, the Company was unable, without reasonable effort or expense, to finalize its quarterly and annual financial data.

During 2001, the Company's subsidiaries that engaged in employee benefits plan administration terminated business operations. For the year ended December 31, 2000, the Company reported a net loss of $3,324,856, comprised of a net loss from continuing operations of $266,285 and a net loss from discontinued operations of $3,058,571. For the year ended December 31, 2001, the Company expects to report a net loss of $2,147,515, comprised of a net loss from continuing operations of $276,630 and a net loss from discontinued operations of $1,870,885.
