Blue Sky Overview

“Blue Sky” laws are securities regulations that govern the offer and sale of securities in each U.S. state and territory. Each state has its own unique Blue Sky requirements, which are primarily designed to protect investors by ensuring adequate current information is available from credible sources.

Blue Sky laws apply to OTC-traded securities. Many companies and their advisors are not aware that Blue Sky laws apply to secondary market trading, even when there is not an IPO or other capital raise. Companies may comply on a state-by-state basis, either by registering directly or by qualifying for an exemption in each state. Companies listed on the Nasdaq® or NYSE® National Stock Exchanges are automatically Blue Sky compliant in all 50 states.

When a security is not compliant with state Blue Sky laws, over 630,000 registered securities representatives from 4,400+ FINRA-member broker-dealer firms in the U.S. are unable to provide financial advice and may have regulatory restrictions on accepting any orders in a security from potential investors. Financial advisor may be further limited in their ability to recommend or write research because it cannot be distributed to retail clients in any state in which a security is not compliant.
