OTC Link® ATS Introduces New Pricing Regime to Support Liquidity in OTCQX and OTCQB Securities

We are pleased to announce that effective July 1, OTC Markets Group’s OTC Link ATS will eliminate quote fees for broker-dealers on our OTCQX Best and OTCQB Venture Marketplaces.

These changes are designed to increase broker-dealer participation by lowering the cost of market making in OTCQX and OTCQB securities. Eliminating quote fees helps broker-dealers expand their coverage of higher-quality companies that are providing enhanced transparency to their investors by meeting our premium marketplace standards.

A diverse communityof broker-dealers is the engine driving our electronic network-based public markets. Lower cost quoting in OTCQX and OTCQB securities will support the broker-dealers providing liquidity and execution services for investors. Together we can use technology and transparency to create better informed and more efficient marketplaces.

This month, we sit down with the Director IR at AkzoNobel (Euronext Amsterdam: AKZA; OTCQX: AKZOY), Lloyd Midwinter. He talks to us about major transformation programs that have been taking place at the company and 8 consecutive quarters of growth in return on sales. One of the founding companies on OTCQX in 2007, AkzoNobel, which won the “Most Progress in IR” award at the IR Magazine - Europe Awards last year, has been steadily increasing its IR presence in the U.S.

OTC Markets Group (OTCM): Tell us about Akzo Nobel N.V. What do you do?

Lloyd Midwinter: AkzoNobel is a leading global paints and coatings company and a major producer of specialty chemicals. Calling on centuries of expertise, we supply industries and consumers worldwide with innovative products and sustainable technologies designed to meet the growing demands of our fast-changing planet. Headquartered in Amsterdam, the Netherlands, we have approximately 47,000 people in around 80 countries, while our portfolio includes well-known brands such as Dulux, Sikkens, International, Interpon and Eka. Consistently ranked as one of the leaders in the area of sustainability, we are committed to making life more livable and our cities more human.

OTCM: AkzoNobel’s ADRs are up 10% year-to-date. What accounts for the strong performance this year?

Mr. Midwinter: Major transformation programs have been taking place throughout AkzoNobel, including all businesses and support functions, and clear operational improvements are now visible in the financial results (return on sales has increased for 8 consecutive quarters) despite continued challenging market conditions. We are on track to deliver the 2015 targets!

OTCM: What projects are you most excited about at the company?

Mr. Midwinter: I’m most excited about AkzoNobel finalizing the transformation and by the end of this year achieving the 2015 financial targets, then continuing the journey towards our vision of “Leading market positions delivering leading performance,” leveraging Commercial Excellence and Operational Excellence programs to drive organic growth and create a continuous improvement culture.

In 2014, we launched our Human Cities initiative designed to engage with the challenges and opportunities of the 21st century city via color, heritage, transport, education, sport and leisure, and sustainability. This is especially relevant to AkzoNobel because by 2050 around 70%of people will live in cities and 60% of our products are related to Buildings and Infrastructure or Transportation. Our partnership with The Rockefeller Foundation’s 100 Resilient Cities program involves four special projects to make urban areas more livable, inspiring and enjoyable.

OTCM: AkzoNobel was one of the founding companies on OTCQX, joining in December 2007. What has been your experience on OTCQX in the past eight years and what do consider the major benefits of trading on a transparent U.S. marketplace?

Mr. Midwinter: OTCQX has provided AkzoNobel (AKZOY) with a cost-effective way to better engage with the wider U.S. investor base and other market participants by broadening access, providing increased visibility and greater availability of information. A large proportion of our investors are based in the U.S., so this is a particularly important marketplace for us.

OTCM: AkzoNobel won the “Most Progress in IR” award at the IR Magazine – Europe Awards last year and is short-listed for the awards this year. What has been the company’s strategy to boost its IR presence in the U.S.?

Mr. Midwinter: During the past few years AkzoNobel has significantly upgraded IR activities, committing more resources and adopting a structured approach to increase the amount of time spent with investors. We have steadily increased our IR presence in the U.S. by engaging with both shareholders and potential investors through a variety of channels, including biannual roadshows and conferences with senior management in key cities supplemented by visits from the IR team to other geographic locations. We also arrange more of our events and calls during the afternoon so it is more convenient for U.S. investors to participate.

OTCM: What else do you want U.S. investors to know about your company?

Mr. Midwinter: AkzoNobel generates revenue throughout the world. The U.S. remains very important and continues to be our largest source of revenue both for AkzoNobel as a whole, as well as our Performance Coatings and Specialty Chemicals businesses, despite the sale of the Decorative Paints business in North America. Emerging markets also represent a significant portion (44%) of our total revenue.

U.S. investors tend to focus on our paints and coatings businesses, as they are more easily comparable to some of our U.S. peers. However, our Specialty Chemicals business delivered return on sales of 10.4% and return on investment of 14.8% in 2014; up from 6.0% and 8.2% in 2013 and with expected outcomes for 2015 at 12% and 15%, respectively. There is a clear rationale behind the focused portfolio of five platforms, based on chemical properties (for example Surface Chemistry), providing our customers with products at various stages of the value chain; the portfolio can be considered similar to a tree where the trunk, branches and leaves provide diversification and make financial performance more sustainable over time.

AkzoNobel has for the third consecutive year been ranked No. 1 out of more than 350 companies in the Materials industry group, on the influential Dow Jones Sustainability Index (DJSI). Sustainability remains a core principle to AkzoNobel encapsulated in our Planet Possible strategy.
