Community Spotlight

Timothy K. Schools, CEO of
Highlands Bankshares, Inc. (OTCQX: HLND)

"With the 2014 capital raise, Highlands expanded its shareholder base beyond the local Abingdon community to include many institutional investors.  As we grow, we expect to need additional capital.  OTCQX requirements make available to us a much broader set of potential investors."

OTC Markets Group (OTCM): Tell us about your bank.

Timothy Schools: Highlands formed as a community bank a little over thirty years ago in an effort to serve the quaint and historical town of Abingdon, Virginia.  Through the years, it expanded to other local markets where it developed a reputation as a preferred provider of financial services.  Currently, Highlands is recognized by local residents as the best bank in Smyth County, Virginia and Watauga County, North Carolina and second best bank in Bristol, Tennessee/Virginia.

Read the full interview.

OTCM: What were your major accomplishments for the last year?

Mr. Schools: Like many banks over recent years, Highlands experienced financial challenges during the economic crisis. The bank had severe credit losses resulting in a large capital raise in 2014. In 2016, a new management team was assembled principally from the former National Commerce Financial which was acknowledged in the industry and on Wall Street for leading financial performance over several decades. This team has worked to stabilize and improve the company’s return on equity and develop a growth strategy. From an earnings standpoint, 2016 has been a flat year as the bank elected to absorb certain expenses to accelerate the remaining credit risk and to better align operating expenses. As we enter 2017, Highlands is a new bank with stronger risk management and renewed energy. All indications are it will be a great year.

OTCM: What differentiates your bank and what is your strategy for growth going forward?

Mr. Schools: The banking industry is experiencing rapid change like many others. Whereas banks used to seek and service customers within small geographic areas, the walls are down and banks now have the ability to target customers nearly anywhere. Similarly, customers have become very comfortable banking with organizations that might not have a physical presence or that have a smaller physical presence. We feel Highlands is in a unique position to take advantage of this rapid change. Banks with large amounts of brick and mortar are contemplating how to consolidate and reduce their real estate and headcount as well as how to develop a new model of growing without those resources. New Fintech companies are working to establish a brand and are evaluating ways to offer personal service which is desired by the majority of customers. Combining a company with 30 years of infrastructure and processes but with a very small branch network with a very experienced management team, provides flexibility. We are hopeful we will be an employer of choice going forward, as talented employees who were acquired buy the large banks look to avoid the rapid cost cutting and consolidation of the large banks and the uncertainty of the start ups. Our initial success has been very positive, as our established brand and back office allowed us to attract two talented banking teams from much larger banks.

OTCM: You joined OTCQX in April 2016. How are you leveraging the market as part of your investor relations program?

Mr. Schools: With the 2014 capital raise, Highlands expanded its shareholder base beyond the local Abingdon community to include many institutional investors. As we grow, we expect to need additional capital. OTCQX requirements makes available to us a much broader set of potential investors. With members of our management having had prior experience with NASDAQ and NYSE listings, we feel OTCQX is the best value for our shareholders as we seek to increase the liquidity and demand for our stock.

OTCM: What else do you want investors to know about your bank?

Mr. Schools: Highlands is a shareholder friendly company. The company has a strong focus on operational excellence, capital allocation, and employee ownership with shareholder ownership guidelines existing at both the board and executive management level. No member of management is eligible for annual bonuses or long term equity awards unless they own at least one times their annual base salary in HLND common stock.
