This month, we speak with Dr. Steve Tsengas, Chairman, President & CEO of OurPet’s Company (OTCQX: OPCO). With 139 patents issued or pending and 40 to 50 new products in the pipeline at any given time, OurPet’s Company is viewed as an “innovator in the pets industry.” Dr. Tsengas talks to us about how OurPet’s Company differentiates itself in the market, the outlook for growth in the pets products industry, and why OurPet’s made the decision to upgrade to OTCQX earlier this year. Dr. Tsengas is a member of the OTCQX U.S. Advisory Council, comprised of senior executives of OTCQX U.S. companies that provide feedback and guidance on the OTCQX market.

OTC Markets Group (OTCM): Tell us about OurPet’s Company.

Dr. Steve Tsengas: OurPet’s was founded in 1995 with the launch of the Big Dog Feeder® for larger breed dogs. Due to their size, eating at ground floor level is not healthy or comfortable for large breed dogs. They develop arthritis at the joints, compromised physical structure, and so on. The Big Dog Feeder became an instant hit in SkyMall Magazine, catalogues, QVC and pet specialty retailers. It also launched the trend of healthy elevated feeding in the industry.

Since 1995, we have grown significantly – from the Big Dog Feeder to over 800 products and over $25 million in annual revenue. We bring a wealth of knowledge related to pet geriatrics and animal behavior, engineering and manufacturing related to electronics, polymers, coatings, nutrition, and other areas and apply it to improve the health, safety, comfort and enjoyment of pets.

We play a dominant role in the three cat/dog areas that we concentrate on: toys and accessories, feeding and storage, and waste and odor control. Our marketing and sales efforts cover all the major pet channels – Pet Specialty retailers and distributors (e.g. Petco, PetSmart), Food Drug & Mass (e.g. Walmart, Kroger, Publix), Catalogues (e.g. Drs. Foster & Smith), e-Commerce (e.g. Amazon), and others.

The breakdown between Pet Specialty and FD&M is approximately 50/50 and domestic/export is 85/15. Export sales are growing rapidly, in spite of the strong dollar relative to foreign currencies. We are currently exporting into Canada, Mexico, Columbia, Brazil, United Kingdom, South Korea, Japan and other smaller countries. Please visit our Website, www.ourpets.com.

OTCM: The pet products industry is a competitive market. How does OurPet’s differentiate itself?

Dr. Tsengas: When we entered the pet market in 1995 industry sales were approximately $16 billion. Today, they are over $60 billion and growing faster than the GDP. Worldwide, the pet industry has grown to over $90 billion in annual sales. This growth has attracted a lot of entrants and a plethora of products. Our strategy for growth includes:

a. Innovation in every product segment that we compete. We have over 139 patents issued or pending and 40-50 new products in the pipeline at any given time. Innovation is a “way of life” at OurPet’s. The Business & Product Development Committee that meets every week consists of engineering, marketing, operations, sales and finance. OurPet’s is viewed as the premier innovator in the pet industry. We have set the trend related to healthy elevated feeding with the Big Dog Feeder and all other subsequent feeding systems, electronic, realistic/pre-recorded prey sound in cat toys (the Play-N-Squeak® line has sold over 30 million units since it was introduced in 2001) and our Durapet® bowls (stainless steel with molded rubber base) have set the industry standard for excellence since they were introduced in 2004. Catty Whack®, the OurPet’s electronic cat toy, won 1st Place New Cat Product at the recent SuperZoo 2015 Show in Las Vegas.

b. Investing in top notch people and management systems on a timely basis. Our Five Year Business Plan, prepared and presented to the board each year, emphasizes optimum growth and a minimization of surprises. During the last five years, OurPet’s has successfully made the challenging transition from a small company to a medium size company with a solid foundation for future growth.

OTCM: What is the outlook for the pet products industry? What makes this an attractive market for investors?

Dr. Tsengas: As previously mentioned, the pet industry has grown to over $60 billion in the USA and over $90 billion worldwide – averaging approximately 5-6% growth per year. Domestically, the pet industry has grown even during recessionary periods. Overseas, the growth has been even higher as the standard of living and discretionary income have increased.

The human/pet bond continues to grow: 70% of Americans consider their pet as a “member of the family.” In spite of the lackluster economy and the slowdown of home ownership, the pet industry continues to grow at over two times GDP.

In summary, the pet industry has proven recession-resistant with an annual growth rate 2-3 times GDP.

OTCM: OurPet’s upgraded to the OTCQX market in February. What caused you to make that move and what do you see are the benefits of trading on a premium, transparent market?

Dr. Tsengas: With the diminishing number of regional broker firms and increasing federal regulations during the last 15 years, it is very difficult for exciting investments like OurPet’s (OPCO) to gain the investor spotlight and enjoy an active aftermarket for its securities while on the OTCQB. Funds for growth have been limited, expensive and dilutive since the stock price has not reflected the healthy/growing pet industry and the tremendous potential of OurPet’s (i.e. rich intellectual property base, strong management and positive position in the industry and rapid growth). It is hoped that trading on OTCQX, a premium, more transparent market, will enable the OPCO stock price to better reflect OurPet’s value.

OTCM: What is your strategy for growing your shareholder base and communicating with investors?

Dr. Tsengas: For a number of years the company’s shareholder base has principally included individual ownership. We recently launched efforts to attract institutional shareholders who also recognize our value and have the capacity to purchase a substantial number of shares. These targeted efforts are being supplemented by a quarterly Fact Sheet, working with financial publications, print and online, and participation in investor conferences.

Our goals include diversifying the company’s shareholder base, increasing communication with investors and the investment community, and increasing liquidity of our stock. We believe these initiatives will lead to a more favorable market valuation for OurPet’s Company that benefits all shareholders.

OTCM: What else do you want investors to know about OurPet’s Company?

Dr. Tsengas: During the last five years, OurPet’s (OPCO) has successfully made the transition from a small company to a $25 million company ready to realize its great potential – i.e. strong, experienced, dedicated management, very strong proprietary/innovative products (75% of revenue), excellent marketing/sales capabilities and blue-chip customer base, a fully implemented IT system and efficient, global operations. We are optimistic about the future due to the strong foundation we have achieved, our expanded customer base and the strong acceptance of our new, innovative products.

FINRA Proposal to Publish OTC Equity Volume Executed Outside ATSs

As part of its transparency initiative, which currently includes making the weekly volume reporting by ATS operators publicly available, FINRA has proposed a Rule to further extend such reporting to internalized transactions of FINRA members. FINRA has proposed to require that the internalized volumes by FINRA members be published on a delayed basis in a similar manner to the ATS reporting requirements. Two comment letters were received on the proposal. The comment letters can be found here. The proposed rule can be found here.

FINRA Extends Tier Size Pilot for OTC Equity Securities

FINRA has again extended the Tier Size Pilot for OTC Equity Securities under FINRA Rule 6433 (Minimum Quotation Size Requirements for OTC Equity Securities). The Pilot is now scheduled to expire on December 11, 2015. In September 2013, a study by Cornerstone Research on the effects of the Tier Size Pilot was published by FINRA. The results are available here.
